Copyright Policy

1. Introduction

1.1 This copyright policy applies to Axcela Bio, corp. id. no 559499-8170 (“Axcela Bio”) and for all Authorised Users of the Products (both as defined below). Axcela Bio provides certain subscription services enabling pharmaceutical companies to develop and launch new treatments faster, which are developed by Axcela Bio, and which are offered as software-as-a-service products.

2. Definitions

2.1 “Authorised Users” shall mean any user who has authorised access to one or more Products through a customer to Axcela Bio.

2.2 “Contents” shall mean any information, data and other contents added to any Product by an Authorised User in connection with the use of any Product.

2.3 “Personal Data” shall mean personal data as defined in the applicable data protection legislation of the European Union, including the GDPR, as amended or replaced from time to time.

2.4 “Platform” shall mean Axcela Bio’s cloud-based foundation layer that provides identity and access management, security, user provisioning, API key management, single sign-on configuration, and related administrative services, and through which Authorised Users gain access to one or more Products.

2.5 “Products” shall mean the distinct subscription services delivered via the Platform, which are specified in the applicable order form. The Products may include information from public databases.

3. Our Products

3.1 The Products are the sole property of Axcela Bio and its licensors and contain proprietary information belonging to these parties. Except for any use which is permitted under mandatory applicable copyright legislation or in accordance with the applicable copyright policy for the respective information, all rights are reserved. Consequently, the Authorised Users may not reproduce the information in the Products, except that a minor excerpt of a Product may be reproduced for internal business purposes (internal reporting, presentations, etc.).

3.2 Authorised Users of the Products can never obtain more rights to the information included in the Products than are granted by the respective owner of the information. Axcela Bio is not the owner of all information as such – some rights belong to the respective licensors.

4. Obligations of Axcela Bio

4.1 Axcela Bio respects the intellectual property rights of others. We are careful about selecting data sources and we take precautions not to collect and present more information than is appropriate and are allowed in accordance with the applicable license agreement and/or applicable law.

5. Obligations of Authorised Users

5.1 The Authorised Users undertake to respect the intellectual property rights of Axcela Bio and others in connection with all their activities relating to the Products.

5.2 The Authorised Users undertake to comply with this copyright policy and any other applicable copyright policy in connection with any use of output from the respective Product.

6. Contents

6.1 The Products may include functionality to add Contents in the format of notes, comments, messages etc. Axcela Bio undertakes to provide information about whether an addition of Contents will be private to the Authorised User, or private to the applicable customer, but it is the responsibility of the Authorised User to check who will have access, and act accordingly.

6.2 The Authorised Users hereby certify and warrant, for any Content provided, that they have all rights, licenses and permissions which are required to provide such Contents to the Products.

6.3 The Authorised Users undertake to:

  • Not to breach any confidentiality obligations in connection with the addition of Contents to the Products;
  • In case the Contents include Personal Data, ensure compliance with all applicable data protection laws and any applicable privacy policy, and
  • Comply with all applicable laws and regulations when adding Contents to the Products.

6.4 In case an Authorised User is in breach of Sections 6.2 or 6.3, the Authorised User undertakes to hold Axcela Bio harmless, without limitation. Furthermore, Axcela Bio shall have the right to remove any Contents if it reasonably believes that an Authorised User is in breach of Sections 6.2 or 6.3.

6.5 Axcela Bio makes no claims to the Contents. However, Axcela Bio shall have the right to use any Contents to develop and improve its Products, comply with applicable law, or enforce its rights in accordance with any applicable agreement or policy.

7. Copyright Infringement

7.1 If you believe that your copyright is infringed by Axcela Bio, please write to us at legal@axcela.bio, providing us with a written statement, in English, including the following information, and we will investigate the issue promptly:

  1. Identification of the work or material that is claimed to be owned by you or the person you represent;
  2. Identification of the copyright that you claim to be infringed;
  3. Identification of the allegedly infringing material on our site or in our Products that you request to remove;
  4. Your name, address, and daytime telephone number, and an e-mail address;
  5. A statement that you have a good faith belief that the use of the copyrighted work is not authorised by the owner or representative, and that no legal exemption for the use applies;
  6. The signature of the copyright owner or someone authorised on the owner’s behalf to assert infringement of the copyright.

7.2 Please note that not all uses of copyright are infringements due to exemptions in accordance with applicable law and/or due to applicable license agreements.

8. Changes to this copyright policy

8.1 We reserve the right to change our copyright policy from time to time by publishing an updated policy on https://www.axcela.bio/, which shall become effective and replace the previous policy with effect from publication date.
